Management Regulations of Santai Love Education Fund (Provisional)

　　Chapter 1 General Provisions

　　Handan Santai Rubber Industry Co., Ltd. has long been enthusiastic about social welfare undertakings. With the heart of serving society and caring for impoverished areas, we have joined hands with Santai's caring agents to establish the Santai Love Education Fund. In order to jointly manage the fund and achieve sustainable development, this method is formulated.

　　Chapter 2 Principles of Fund Establishment

　　Article 1: Fully respect the personal wishes of donors, prioritize voluntary donations, highlight the public welfare nature of the fund, and use the donated fund and the income generated from it as the principal to support primary school students from impoverished families, without any other use.

　　Article 2: Fund management work shall adhere to openness, fairness, transparency, and accept social supervision.

　　Article 3: Highlight the social and educational benefits of the fund, encourage impoverished primary school students to study hard and aspire to succeed.

　　Article 4: Through various channels, widely absorb forces from all sectors of society. Promote this fund to become a social welfare fund with certain social influence and a more comprehensive scope of funding as soon as possible.

　　Chapter 3 Fund Management

　　Article 5: In order to effectively strengthen the management of the Santai Love Education Fund, Santai Company will take the lead in management. Santai Company and all donors have agreed to establish the Santai Love Education Fund Regulatory Committee (the Fund Regulatory Committee was established in March 2014, and the specific personnel composition will be determined separately), strictly manage the system, timely report the use of the fund to the Santai Love Education Fund Regulatory Committee and the society, strengthen publicity, and accept supervision.

　　Article 6 Management Organization: After the Santai Love Education Fund Management Committee accepts the entrusted management, a Santai Love Education Fund Management Office shall be established at the same time, specifically responsible for the comprehensive management of the fund.

　　Article 7 Management of Funds: The Santai Love Education Fund Supervision Committee shall establish the Santai Love Education Fund Bank Basic Account. After being approved by the Santai Love Education Fund Management Office, all expenditures must be signed by the Santai Love Education Fund Management Committee or authorized representative.

　　Article 8: Sources and Returns of Funds:

　　① According to the wishes of the Santai Love Education Fund Regulatory Committee, the Santai Love Education Fund comes from all products sold by Santai Company every year, including a donation of 0.1 yuan from agents, 0.1 yuan from Santai Company, and 0.1 yuan from Santai Company shareholders, with a donation of 0.3 yuan per item. Distributors who are willing to donate will receive one order based on the quantity of each shipment. Santai Company will inject capital at the end of each month based on sales volume, and shareholders will contribute monthly based on the number of shares. All of this money will be deposited into the Santai Love Education Fund bank basic account, and a fund specific receipt will be issued to ensure that the funds are used for their intended purposes and are transparent and open.

　　② According to the wishes of the Supervisory Committee of the Santai Love Education Fund, the income from the principal deposit of the Santai Love Education Fund can be sustainably included in the fund account, ensuring that it is used exclusively for its intended purpose.

　　③ Under the premise of low risk, the Santai Love Education Fund Regulatory Committee has decided on the principal storage method, and all profits obtained from it will be included in this special account.

　　④ Strengthen the promotion of public welfare undertakings and widely attract funding from social organizations.

　　Article 9: Usage Limit:

　　The amount used for funding each year shall be mainly based on the total funds raised by the Santai Love Scholarship Fund for that year, and shall not be less than 90% of the total fund amount for that year.

　　Article 10: Procedures for Funding:

　　① The Santai Love Fund Management Office proposes the total amount and category of funding for the current year based on the number of funds;

　　② The main beneficiaries of the donation are primary school students in poverty-stricken areas. The Fund Management Office determines the management department of the "Hope Project" in the donation area in early July each year, entrusts the local education department to confirm the specific donation objects, and the recipient submits an application based on their actual situation, accompanied by relevant materials. The Santai Love Education Fund Management Office, the "Hope Project", and the local education department jointly review and approve the application. After the start of the autumn semester each year, a one-time donation will be made to the local "Hope Project" office based on the donation amount. Entrust the local education department to distribute. The Santai Love Education Fund Management Office conducts spot checks and verifications on the situation of donors to ensure that the Santai Love Education Fund is used where it is most needed.

　　③ Organized by the local education department and the local "Hope Project" office, relevant individuals and news media are invited to attend the scholarship award ceremony and make it public to the society through the media.

　　④ All financially disadvantaged primary school students who meet the criteria can reapply the following year, and after being approved as qualified, they can receive a scholarship again.

　　Article 11 Review and Notification System: Strengthen the supervision of the use of the Santai Love Education Fund, and regularly report the income and use of the fund to the society, the Santai Love Education Fund Regulatory Committee, and each donor every year. Through appropriate means, publicly disclose the list of donors within a certain scope. For those who do not meet the criteria for receiving funding, their qualifications will be cancelled once reported and verified, and the relevant local departments will hold the recommending personnel accountable for administrative responsibilities to ensure the healthy and orderly management of the fund.

　　The continuous operation of the Santai Love Assistance Fund: In order to enable the fund to serve the education of primary school students in poverty-stricken areas more widely and sustainably, and to stimulate the enthusiasm of all sectors of society to care about public welfare undertakings. All donors, the Santai Love Education Fund Management Office, and the local education department receiving donations have the responsibility and obligation to continuously develop the fund through multiple channels and achieve the sustainable development of this public welfare activity.

　　Financial Management

　　① The financial accounting will be handled by the Santai Love Education Management Office, and a basic account will be opened at the bank for dedicated funds.

　　② All donation income and benefits generated from this fund shall adhere to the principle of dedicated use for specific purposes, and shall be used exclusively for funding purposes and shall not be diverted for other purposes.

　　③ At the beginning of the year, financial personnel submitted the annual financial report of the fund's income and expenditure to the Santai Love Education Fund Regulatory Committee.

　　Chapter 4: Objects and Standards of Donation

　　Article 12: Award recipients:

　　① Primary school students from impoverished families facing financial difficulties;

　　② Students in poverty-stricken areas who are facing extreme difficulties due to sudden events.

　　Article 13 Types of Funding:

　　Provide one-time financial assistance to individual students.

　　Article 14: Funding Method: Cash.

　　Article 15 Funding Standards:

　　Santai Love Scholarship: A one-time subsidy of 2000 yuan per academic year for impoverished primary school students, and a one-time subsidy of 4000 yuan for students in extreme difficulties due to unexpected events.

　　Chapter 5 Termination and Disposal of Remaining Property

　　Article 16: In any of the following circumstances, this fund shall be terminated:

　　① If all members of the Santai Love Scholarship Fund Supervision Committee unanimously agree to terminate it;

　　② Unable to continue engaging in public welfare activities in accordance with the purpose stipulated in the articles of association;

　　③ If this fund undergoes separation or merger;

　　Article 17: The termination of the fund shall be unanimously approved by all members of the Santai Love Education Fund Supervision Committee.

　　Article 18: Upon termination of the fund, a liquidation team shall be established to complete the liquidation work.

　　Article 19: Upon termination of the fund, the remaining assets shall continue to belong to the Santai Love Education Fund, which shall make a one-time donation to charitable and public welfare undertakings.

　　Chapter 6 Supplementary Provisions

　　Article 20: For beneficiaries who have studied hard and achieved excellent results after receiving funding, their achievements should be promptly reported to the Santai Love Assistance Fund Management Office for filing. They may be invited to participate in the annual meeting organized by Santai Company to further encourage and expand their influence.

　　Article 21: During the trial implementation process, this constitution will continuously summarize experience and gradually improve it. The right to modify, change, and interpret these measures belongs to the Santai Love Education Fund Regulatory Committee.

　　Article 22: This Articles of Association shall come into effect from the date of its publication.
